Qualification:
· Experience: 1 to 2 yrs
· CS Qualified or CS Executive/Professional with relevant experience.
· 1–2 years of experience in a manufacturing or corporate environment preferred.
· Experience in handling ROC filings and Board Meeting documentation will be an added advantage.
Key Responsibilities
· Ensure compliance with the Companies Act, 2013 and applicable corporate laws.
· Prepare and maintain statutory registers, records, and secretarial documents.
· Draft notices, agendas, board resolutions, minutes of Board Meetings, Committee Meetings, and General Meetings.
· File statutory forms and annual returns with the Registrar of Companies (ROC) through the MCA portal.
· Assist in conducting Board Meetings, AGM, EGM, and Committee Meetings.
· Coordinate with Directors, Auditors, Legal Advisors, Banks, and Government Authorities.
· Ensure timely compliance with Secretarial Standards (SS-1 & SS-2).
· Support due diligence, documentation, and regulatory compliance for business transactions.
· Monitor changes in corporate laws and advise management on compliance requirements.
· Maintain corporate records, licenses, approvals, and legal documents.
· Assist in preparation of annual reports and corporate governance documentation.
· Coordinate with internal departments for statutory and regulatory compliance.
Desired Skills
· Good knowledge of the Companies Act, 2013 and MCA compliance.
· Familiarity with ROC filings, ICSI regulations, and Secretarial Standards.
· Strong drafting and documentation skills.
· Proficiency in MS Office (Excel, Word, PowerPoint).
· Excellent communication and interpersonal skills.
· High level of integrity, confidentiality, and attention to detail.
· Ability to manage deadlines and work independently.
