A law firm is seeking an Associate to join its Executive Compensation and Employee Benefits practice. The ideal candidate will have major law firm experience advising on executive compensation arrangements and employee benefits matters, including in connection with corporate transactions.

Responsibilities & ExperienceStructure and negotiate employment agreements.Advise on equity compensation and deferred compensation arrangements.Handle change-in-control arrangements and severance and separation agreements.Advise private and public companies, startup companies, private equity clients, and senior executives.Support executive compensation and employee benefits matters in private and public company M&A transactions, IPOs, and other sale and liquidity transactions.Qualifications3–4 years of major law firm experience in executive compensation and employee benefits.Experience structuring employment agreements, equity compensation, deferred compensation, change-in-control arrangements, and severance and separation arrangements.Experience advising a range of clients, including private and public companies, startups, private equity, and senior executives.Transaction experience involving M&A, IPOs, and other sale or liquidity transactions. xzbcwsv Specific knowledge of Internal Revenue Code Sections 409A, 280G, and 83(b) is desirable.Admission to the New York or New Jersey Bar.
Salary Range: $260,000 - $310,000 USD
