Role Summary

We are looking for a Financial Controller to own the financial discipline of our investment company. The role combines financial analysis, control over every fund outflow, and statutory compliance. The Controller will be the final approver for all payments and investments. Before approving any outflow, they will confirm that accounting entries, documentation, and tax and corporate law compliance are complete. They will also represent the company before GST and Income Tax (TDS) authorities.

Key Responsibilities1. P&L Analysis and Reporting
  • Prepare and review monthly, quarterly, and annual P&L statements, balance sheets, and cash flow statements.
  • Analyse income from investments, including dividends, interest, capital gains, and rental or other income, and track portfolio-level returns.
  • Present clear MIS reports to the Board, with commentary on performance, trends, and risks.
  • Track expenses and cost heads, and flag leakages or unusual items.
2. Budgeting and Variance Analysis
  • Prepare annual budgets and rolling cash flow forecasts together with the management.
  • Conduct monthly budget-vs-actual and period-on-period variance analysis, and explain every material deviation.
  • Recommend corrective actions and cost controls based on the variances found.
  • Monitor liquidity and plan deployment of idle funds in line with the Board's guidance.
3. Fund Outflow Control (Final Approver)
  • Act as the final approving authority for all fund outflows, including vendor payments, investments, inter-corporate loans and advances, and related-party transactions, within the delegation of authority approved by the Board.
  • Before approving any payment, verify that:
  • the transaction is properly authorised and supported by invoices, agreements, and approvals;
  • it is correctly recorded in the books;
  • GST input eligibility and RCM applicability have been checked;
  • TDS has been correctly deducted under the applicable section and rate;
  • payee KYC, PAN, GSTIN, and bank details are validated;
  • for loans, guarantees, and investments, Sections 185 and 186 of the Companies Act are complied with, including Board or shareholder approvals and limits;
  • for related-party payments, Section 188 is complied with;
  • the payment is within budget, or the variance has been approved.
  • Maintain a documented approval trail for every outflow.
  • Design, implement, and periodically review the payment approval matrix and internal controls.
4. Taxation and Statutory Compliance
  • Represent the company before GST and Income Tax authorities, including in assessments, scrutiny, notices, audits, and appeals where required. Coordinate with external consultants as needed.
  • Ensure timely GST compliance: GSTR-1, GSTR-3B, annual returns, ITC reconciliation with GSTR-2B, and RCM.
  • Ensure timely TDS/TCS compliance: deduction, deposit, quarterly returns (24Q/26Q/27Q), Form 16/16A issuance, and resolution of TRACES defaults.
  • Oversee advance tax computation and income tax return filing.
  • Ensure Companies Act compliance together with the Company Secretary. This covers annual ROC filings (AOC-4, MGT-7/7A), DIR-3 KYC, DPT-3, MSME-1, Board and AGM documentation, and statutory registers.
  • Monitor the company's asset and income composition against RBI's principal business criteria (the 50-50 test), and flag any risk of triggering NBFC registration requirements.
  • Track regulatory changes relevant to investment income and taxation, and brief the Board on their impact.
5. Accounting, Audit and Controls
  • Supervise day-to-day accounting and ensure books are closed accurately and on time each month.
  • Complete bank, investment, and inter-company reconciliations every month.
  • Coordinate statutory and tax audits, and act as the primary point of contact for auditors.
  • Maintain proper documentation for all investments, including contracts, valuations, and holding statements.
  • Strengthen SOPs and internal controls to prevent errors and fraud.
Qualifications and Experience
  • Chartered Accountant (CA) is required. CS or CMA is an added advantage.
  • 8–12 years of post-qualification experience, preferably in an investment company, family office, NBFC, or holding company.
  • Hands-on experience with GST and TDS litigation and representation before tax authorities.
  • Strong working knowledge of the Companies Act 2013 (especially Sections 185, 186 and 188), Income Tax (capital gains, TDS, MAT/115BAA), GST, and RBI NBFC regulations.
  • Proficiency in Tally, Zoho, or ERP systems, and in advanced Excel.

  • Zero non-compliant fund outflows, with a complete approval trail for every payment.
  • 100% on-time filing of GST, TDS, income tax, and ROC returns, with zero penalties or interest.
  • Monthly books closed and MIS delivered within 7–10 days of month end.
  • Favourable, timely resolution of tax notices and assessments.
  • Clean statutory and tax audit reports.
