Job Description
A. Corporate Governance & Board Management
Governance Stewardship Serve as the custodian of corporate governance practices across the organisation. Strengthen governance frameworks, compliance structures, and policy systems aligned with business growth and IPO preparedness. Ensure adherence to Companies Act, 2013, SEBI regulations LODR, SDD, IDR , UPSI regulations (as applicable), secretarial standards, and other corporate governance requirements. Advise leadership on governance implications of strategic, operational, financial, and organisational decisions. Lead the implementation of the organisation in transitioning toward institutional and listed-company governance standards. Board & Committee Management Manage end-to-end Board, Committee, AGM, and EGM processes. Prepare agendas, notices, Board papers, presentations, resolutions, and minutes. Ensure timely circulation of governance materials and maintenance of decision records. Track closure of action items arising from Board and Committee meetings. Support Directors and management on governance responsibilities, disclosures, and statutory obligations. Facilitate effective Board functioning and governance transparency. Policy & Governance Frameworks Develop and strengthen governance policies, delegation matrices, compliance trackers, and approval frameworks. Lead implementation of governance mechanisms aligned with future listing requirements. Build governance documentation systems and reporting structures to improve organisational control and accountability.B. Regulatory, Secretarial & Compliance Management
Secretarial Compliance Ensure end-to-end compliance under the Companies Act, 2013 and allied corporate laws. Manage all Stock Exchange filings, statutory returns, disclosures, resolutions, and regulatory submissions. Maintain statutory registers, minutes books, disclosures, records, and secretarial documentation. Ensure timely filing of annual returns, financial statements, and event-based compliances. Drive and ensure secretarial audits and compliance certifications. Regulatory Coordination Liaise with Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), SEBI, stock exchanges (as applicable), and other regulatory authorities. Monitor changes in applicable laws, governance standards, and compliance requirements. Proactively assess compliance impact and drive implementation across the organisation. Drive and ensure with external consultants, legal counsel, merchant bankers, and advisors during strategic and IPO-related initiatives.Institutional Governance & Investor Readiness
Build governance culture aligned with institutional investor expectations.
• Ensure high standards of disclosure discipline, compliance transparency, and Board effectiveness.
• Strengthen governance frameworks to support future public market participation and institutional funding.
IPO & Institutional Readiness
Lead and coordinate IPO readiness and listing-related activities including: DRHP preparation support Due diligence coordination Secretarial due diligence Corporate restructuring support Capital restructuring and pre-IPO compliance alignment SEBI and Stock Exchange coordination Corporate governance readiness Investor and disclosure readiness • Work closely with Merchant Bankers, Legal Counsels, Auditors, Registrars, and other IPO intermediaries throughout the IPO lifecycle.
C. Risk, Legal & Governance Controls
Governance Risk Management Identify and monitor governance, regulatory, and statutory compliance risks. Build proactive compliance monitoring mechanisms to prevent legal and regulatory exposure. Ensure closure of governance gaps, audit observations, and compliance action items. Support leadership with risk-informed governance recommendations. Legal & Documentation Coordination Coordinate with legal advisors on contracts, agreements, notices, litigation-related documentation, and regulatory correspondence. Support vetting and maintenance of key commercial and legal agreements. Ensure confidentiality, integrity, and systematic maintenance of governance and legal records. Support compliance-related documentation for financing, expansion, restructuring, and strategic transactions.D. Operational Excellence & Institutionalisation
Process Excellence Drive standardisation and digitisation of secretarial and governance processes. Build scalable compliance systems and governance trackers across AMW’s operations. Coordinate with plant locations and corporate teams for timely compliance submissions and governance documentation. Improve process efficiency, compliance visibility, and reporting discipline. Cross-Functional Governance Integration Work closely with Finance, HR, Operations, Legal, and Plant leadership teams on governance-linked matters. Support compliance alignment across labour laws, POSH, CSR, related-party transactions, documentation controls, and statutory reporting. Act as a central governance coordination point across functions and entities.E. Listed Company & SEBI Compliance Management
Ensure compliance with SEBI (LODR) Regulations, 2015 and all applicable stock exchange requirements.
• Handle compliance relating to SEBI PIT Regulations including:
UPSI management Structured Digital Database (SDD) Trading Window controls Code of Conduct administration Designated Persons complianceInsider trading monitoring and reporting.
• Manage Board disclosures, corporate announcements, stock exchange filings, and governance reporting.
• Ensure compliance with Corporate Governance requirements applicable to listed entities.
• Coordinate with RTA, Depositories, Stock Exchanges, and SEBI-related intermediaries.
• Drive implementation of governance and compliance systems required for listed-company operations.
• Support investor communication, governance disclosures, and institutional compliance frameworks.
