About the OpportunityWe are partnering with a leading alternative asset manager to hire a Tax Counsel to join its growing tax function. This individual will focus primarily on tax planning, structuring, and transactional matters across the firm’s investment platform, working closely with investment professionals, Legal, Finance, and senior tax leadership.

Key ResponsibilitiesAdvise investment teams on the tax structuring of acquisitions, dispositions, financings, restructurings, and other transactions.Analyze U.S. federal income tax considerations associated with investments across a range of alternative asset classes and strategies.Develop and implement tax-efficient structures for new investments, funds, joint ventures, and other strategic initiatives.Review and negotiate tax provisions in transaction documents, including purchase agreements, partnership agreements, financing documents, and other investment-related agreements.Conduct tax due diligence on prospective investments and identify potential tax risks and structuring opportunities.Partner closely with investment professionals throughout the transaction lifecycle, providing practical and commercially oriented tax advice.Advise on partnership tax matters and complex investment structures involving corporations, partnerships, blockers, holding companies, and other entities.Work closely with internal Legal, Finance, Accounting, and fund teams on tax-related matters.
Ideal Background5+ years of tax planning, structuring, and transactional experience.JD required with strong knowledge of U.S. federal income tax law.Experience within a leading law firm, alternative asset manager, or similar sophisticated investment environment.Strong experience with partnership taxation and transaction structuring.Experience advising on M&A, investments, financings, restructurings, or other complex transactions.Exposure to private equity, credit, real estate, infrastructure, or other alternative investment strategies preferred.Ability to analyze complex technical issues while providing practical, commercially focused advice.Strong drafting, negotiation, and communication skills.Ability to work effectively with investment professionals, attorneys, finance teams, and senior leadership. xzbcwsv Comfortable operating in a fast-paced environment and managing multiple transactions and priorities simultaneously.
