JOB PURPOSE:

This role supports the development and execution of corporate governance initiatives within Shipping Solutions AMEA. Also ensures regulatory compliance, ethical operations across maritime operations, ports, logistics partners, and corporate offices, while strengthening the company’s governance performance.

KEY RESPONSIBILITIES:

CS & Governance

  • Responsible for ensuring compliance with the provisions of Companies Act, and various other applicable corporate legislations, rules, regulations etc. on a regular and continuous basis.
  • Reporting MIS of the legal and secretarial compliances in various areas for all group companies.
  • Thorough knowledge of winding up of companies and dissolution of Firms / LLP, conversion of partnership firms into LLP or Pvt Ltd. Co etc.
  • Manage routine and day to day activities pertaining to ROC and independently filing various forms with ROC for Company.
  • Capable of conducting Due Diligence Audit and Secretarial Audit compliances wherever required.
  • Drafting/Vetting/preparation, drafting, negotiating, approving, and monitoring of various agreements, Power of Attorneys etc. in relation to all group companies in coordination with legal department.
  • Proper maintenance of Secretarial records, Statutory books, Statutory registers, Minutes books, Forms, Declarations, Returns and other secretarial records of the company as required under the provisions of the Companies Law for all the group.
  • Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and related party implications of proposed policies.
  • Protection of the Intellectual Property and advising the Company on issues relating to Copyright and responsible to ensure registration and filing of the trademarks, patents, copy rights etc. are done in stipulated time for the existing companies and proposed companies.
  • Dealing with external consultants / auditors as required.

Stakeholder & Cross-Functional Coordination

  • Coordinate with Operations, Fleet Management, HSSE, Legal, Finance, Procurement, and HR teams.
  • Support employee engagement, volunteering, and awareness programs across locations.

Risk Management & Continuous Improvement

  • Support identification of ESG and governance risks specific to shipping operations.
  • Track corrective and preventive actions arising from audits and assessments

QUALIFICATIONS AND EXPERIENCE:

  • Qualified Company Secretary.
  • 6-8 years of experience in Compliance/Governance roles.
  • Exposure to shipping, logistics, ports, energy, or heavy-asset industries is an advantage.
  • Experience working in multinational or regulated environments is an advantage.
