Job Description
Position: Company Secretary (CS)
Location: Surat, Gujarat
Position Overview
We are looking for a qualified and responsible Company Secretary (CS) to manage corporate secretarial functions, regulatory compliance, corporate governance, and statutory matters in accordance with applicable laws and regulations.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, RBI regulations, and other applicable laws.
- Manage ROC/MCA and other regulatory filings within prescribed timelines.
- Prepare and maintain minutes, statutory registers, corporate records, and other secretarial documents.
- Coordinate Board, Committee, and General Meetings, including notices, agendas, minutes, and related documentation.
- Handle secretarial audits, due diligence, and compliance reviews.
- Support fund-raising activities, corporate transactions, and restructuring matters.
- Coordinate with auditors, legal advisers, valuers, merchant bankers, regulators, and other stakeholders.
- Advise and assist the Board and management on corporate governance and legal-compliance matters.
- Manage share allotments, transfers, conversions, and other capital-market-related matters.
- Monitor regulatory changes and ensure timely implementation of applicable compliance requirements.
Eligibility & Requirements
- Qualified Company Secretary (CS) must hold Membership of ICSI.
- Strong knowledge of the Companies Act, SEBI, FEMA, RBI, and MCA compliances.
- Good drafting, documentation, communication, and coordination skills.
- Ability to work independently and manage statutory deadlines.
- Candidates with relevant corporate/secretarial experience will be preferred.
