This is a great opportunity for a corporate paralegal who enjoys taking ownership of transactions and working directly with attorneys and clients in a fast-paced, collaborative environment.
About the Role:The Corporate Paralegal will work directly with attorneys on sophisticated M&A, private equity, venture capital, corporate finance, and general corporate matters. This person will manage the paralegal aspects of multiple transactions simultaneously, coordinate closings and deliverables, and provide ongoing corporate governance and entity-management support.
Responsibilities:Managing paralegal responsibilities across M&A and other corporate transactions, including closing checklists, transaction timelines, and post-closing mattersPreparing and coordinating signature packets, execution documents, closing deliverables, and closing setsCoordinating due diligence and virtual data roomsHandling UCC filings, lien searches, good standing certificates, and other transaction-related searches and filingsForming and maintaining corporations, LLCs, partnerships, and other business entitiesPreparing and maintaining organizational documents, corporate records, board and stockholder consents, minutes, and governance materialsSupporting equity issuances, capitalization records, stock certificates, and related corporate documentationCommunicating directly with attorneys, clients, opposing counsel, and third-party vendors throughout transactions
Qualifications:3+ years of corporate paralegal experienceMeaningful experience supporting M&A or other corporate transactionsPrior law firm experience strongly preferredWorking knowledge of corporate governance, entity formation and maintenance, and transactional processesStrong organizational and time-management skills with the ability to manage multiple active matters simultaneouslyDetail-oriented, proactive, and comfortable working independently with limited day-to-day supervisionStrong written and verbal communication skills
Preferred Experience:Private equity, venture capital, or startup transactional workCarta or similar equity-management platformsForm D and Blue Sky filingsEquity issuances, incentive plans, and capitalization records
