Sangal & Associates is a Chartered Accountancy firm based in Delhi NCR, advising companies, alternative investment funds, start-ups and promoter groups in India and overseas.
Our practice spans statutory, internal and tax audits; direct and indirect taxation; transfer pricing and international taxation; business and securities valuations; corporate structuring and restructuring; FEMA and RBI compliances; secretarial and ROC compliance; due diligence and transaction advisory; and litigation and representation before tax and regulatory authorities.

We are looking for a Company Secretary to join our team on a full-time, onsite basis.
Roles & Responsibilities
- Handle end-to-end secretarial compliance under the Companies Act, 2013 — incorporations, ROC/MCA filings, maintenance of statutory registers and records.
- Convene and document Board Meetings, Committee Meetings, AGMs and EGMs — drafting notices, agendas, resolutions and minutes.
- Conduct and support Secretarial Audits, due diligence and compliance health checks for clients.
- Manage FEMA/RBI compliances and filings, including FC-GPR, FC-TRS, Form InVi, FLA Return and ODI/FDI reporting.
- Support valuation and transaction advisory assignments — share allotments, transfers, buy-backs, restructuring, ESOP schemes and related documentation.
- Draft and vet agreements, undertakings, declarations, board resolutions and other legal/secretarial documentation.
- Liaise with clients, ROC, RBI, authorised dealer banks and other regulatory authorities.
- Track regulatory amendments and advise clients and internal teams on their impact.
- Maintain compliance calendars and ensure timely closure of all statutory due dates.
Requirements
- Qualified Company Secretary (Member of ICSI); candidates who have completed CS Executive with relevant experience may also be considered.
- Working knowledge of the Companies Act, 2013, FEMA and allied corporate laws.
- Sound drafting skills and attention to detail.
- Proficiency in MS Office and MCA/RBI online filing portals.
- Ability to manage multiple client assignments and deadlines independently.
- LLB or additional qualification will be an added advantage.
