SENIOR MANAGER / AD – LEGAL & SECRETARIAL

Key Responsibilities:

• Own the Contract Lifecycle End to End: Drafting, review, redlining, negotiation and closure of MSAs, PSAs, SOWs, NDAs, EULAs, DPAs, licensing, partner and vendor agreements. You independently lead negotiations and act as the single point of contact for clients, vendors, investors and consultants on legal matters.
• Standardise How We Paper Our Deals: Standardise the MSA/PSA and other contract templates; build a clause library, playbooks and fallback positions so deals close faster without giving up protection.
• Own Product and Platform Policies: Draft and maintain the Terms of Use, Privacy Policy and other product and platform policies across geographies, aligned with the DPDP Act, GDPR and similar frameworks.
• Advise the Business: Advise leadership and business teams on deal structuring, legal risk, IP protection and data-related obligations. Manage external counsel and handle notices, disputes and pre-litigation matters.
• Lead the Secretarial Function: With the Company Secretary reporting into you, own board, committee and shareholder meetings, minutes, statutory registers, ROC filings and annual returns.
• Own Corporate and Regulatory Compliance: Ensure time-bound compliance under the Companies Act, 2013 and FEMA/RBI requirements, including FDI-related filings, across our India, US and UK entities.
• Support Investor-Facing Work: Shareholder agreement obligations, ESOP administration, board and investor consents, and due-diligence support during fundraises.
• Liaise with Authorities and Auditors: Work with regulators, statutory, internal and secretarial auditors, and government authorities to resolve matters.
• Build the Function: Set up and run the legal MIS — contract repository, trackers, compliance calendar and turnaround norms. Mentor and review the Company Secretary, raise the quality and speed of the function, and assist in protecting the company’s intellectual property portfolio.
