About the Role
We are a Corporate Service Provider (CSP) seeking an experienced and highly capable Senior Company Secretary & Operations Manager to lead our corporate secretarial operations team based in India.
The successful candidate will have extensive experience in corporate secretarial practice, strong leadership capabilities, and a proven track record of managing teams, improving operational efficiency, maintaining regulatory compliance, and delivering high-quality client service. This role requires a hands-on leader who can independently manage operations, mentor junior staff, streamline processes, and ensure timely execution of all corporate secretarial matters.
Key Responsibilities
Corporate Secretarial Management Oversee the delivery of corporate secretarial services for Singapore-incorporated companies. Ensure compliance with the Companies Act, regulations, and other applicable statutory requirements. Handle company incorporations, share allotments, transfers, changes in directors/shareholders/company secretary and corporate restructuring matters. Review and approve corporate secretarial documents, resolutions, annual filings, and statutory records. Monitor regulatory developments and ensure timely implementation of any changes in internal processes.
Operations Leadership Lead, supervise, and develop a team of junior and mid-level corporate secretarial professionals. Establish performance standards, monitor productivity, and ensure high-quality service delivery. Manage work allocation, deadlines, and resource planning to ensure timely completion of all client deliverables. Act as the escalation point for complex client and operational issues.
Process Improvement & Efficiency Review existing workflows and identify opportunities for automation, standardisation, and efficiency improvements. Develop and implement SOPs, checklists, templates, and quality control processes. Drive operational excellence initiatives to improve turnaround times, reduce errors, and enhance client satisfaction. Ensure strict adherence to internal controls, compliance procedures, and service standards.
Cross-Functional Coordination & Stakeholder Management Act as the primary liaison between Corporate Secretarial, Accounting, Compliance, Tax, and other operational teams to ensure seamless delivery of client services. Coordinate closely with the Accounting team to monitor completion of statutory financial statements and ensure timely preparation and filing of Annual Returns, XBRL financial statements, and related statutory submissions. Work proactively with Compliance team to support regulated entities, including fund management companies and other licensed entities. Ensure smooth handover of work between teams through well-defined workflows, ownership controls, and service-level timelines. Monitor workflow dependencies across teams and proactively escalate issues that may impact statutory or regulatory deadlines. Drive inter-team process improvements to eliminate bottlenecks, reduce turnaround times, and improve overall operational efficiency. Establish and maintain effective communication channels between teams to ensure critical deadlines, regulatory filings, and client deliverables are met without exception.
Client Management Build and maintain strong relationships with clients, professional advisors, and stakeholders. Provide practical and commercially sound guidance on corporate secretarial matters. Participate in client meetings where required and support business growth initiatives.
Compliance & Risk Management Ensure all filings and statutory obligations are completed accurately and within prescribed timelines. Maintain proper records and documentation in accordance with regulatory and internal requirements. Support audits, compliance reviews, and regulatory inspections. Identify and mitigate operational and compliance risks.
Requirements
Essential Qualifications & Experience Qualified Company Secretary, Lawyer or equivalent professional qualification. Minimum 10 years of relevant corporate secretarial experience, with substantial exposure to corporate secretarial practice. At least 5 years of experience managing and leading teams. Strong knowledge of the Companies Act, MCA requirements, and corporate governance principles. Experience working in a Corporate Service Provider (CSP), accounting firm, law firm, or professional services environment. Demonstrated experience in process improvement, operational management, and team development.
