<p>Job Summary: </p><p>We are looking for a dynamic, seasoned Regulatory (RBI) Compliance professional to lead the compliance and governance charter for our fast-growing NBFC business — regulated by the RBI as a Middle Layer (ML) NBFC under its Scale-Based Regulatory framework. The ideal candidate brings deep expertise in RBI regulatory compliance, corporate law, and governance frameworks, and will serve as a trusted advisor to the Group CCO, the Sr. Management and senior leadership on all matters of regulatory and prudential compliance. </p><p>This is a high-impact, Senior stakeholder facing role for a proactive leader who can independently own regulatory obligations, build robust compliance systems, and engage confidently with regulators and internal stakeholders alike. The incumbent will own regulatory compliance risk management across the organisation’s NBFC, lending, retail assets, and digital lending businesses, as well as its Support &amp; Control functions, Inspection / Risk-Based Supervision (RBS) compliance, and support GCCO in managing subsidiary / group company compliance and governance. </p><p><br /></p><p>Principal Accountabilities: </p><p><strong>Regulatory Monitoring &amp; Implementation </strong> </p><ul><li>Track and assess new or amended RBI and other regulatory guidelines, identifying the actions they necessitate for the business. </li><li>Ensure timely dissemination of regulatory changes to business units, along with clear, actionable guidance for implementation. </li><li>Drive timely, organisation-wide implementation of regulatory changes across all business lines. </li> </ul><p><strong>2. Advisory &amp; Consultative Role </strong> </p><ul><li>Build and drive an effective compliance management programme through policy formulation, MIS review, and timely escalation of issues. </li><li>Advise business units on processes and controls from a regulatory and statutory compliance standpoint. </li><li>Represent Compliance on product and change-management councils (PMC/CMC), reviewing new products and product changes for regulatory alignment. </li><li>Review policies and internal guidelines through a compliance lens prior to roll-out to business units. </li><li>Support regulatory enquiries, examinations, and third-party / AIF audits, and respond to Internal Audit observations on compliance functions. </li><li>Establish and strengthen the Compliance Testing and Quality Assurance (QA) functions within Compliance. </li><li>Maintain proactive regulatory liaison and relationships with the RBI and other regulators. </li> </ul><p><strong>3. Monitoring &amp; Risk Assessment </strong> </p><ul><li>Monitor the effectiveness of processes and controls through Key Compliance Indicators (KCIs) and compliance testing. </li><li>Identify non-compliance and breaches surfaced through RBI Risk Assessment Reports (RAR), Internal Audit, and Operational Risk Reports; guide business teams on root-cause analysis and remedial action plans. </li><li>Conduct the annual compliance risk assessment and identify critical units / focus areas for risk mitigation. </li><li>Hold regular reviews with business, operations, and support-function heads to discuss open compliance matters. </li><li>Support the design and roll-out of compliance training for business units. </li><li>Own the selection, implementation, and ongoing management of compliance tools and technology. </li> </ul><p><strong>4. Board &amp; Governance Reporting </strong> </p><ul><li>Report to and update the Board / Audit Committee of the Board on significant regulatory developments and on non-compliances or breaches identified across the organisation. </li><li>Represent Compliance in governance forums, advising business from a compliance standpoint. </li> </ul><p><strong>5. Risk &amp; Internal Control Alignment </strong> </p><ul><li>Partner with Risk, Legal, Finance, and Business teams to strengthen the internal control environment. </li><li>Identify, assess, and mitigate compliance risk across lending, operations, and digital initiatives. </li><li>Ensure adherence to data protection, cybersecurity, digital lending, and grievance redressal guidelines. </li> </ul><p><strong>6. Policy Framework, Training &amp; AML/KYC Oversight </strong> </p><ul><li>Develop, update, and secure Senior stakeholder / Board approval for mandatory compliance policies (KYC, AML/CFT, Fair Practices Code, Outsourcing, Whistleblower, IT Governance, etc.), and maintain a regulatory compliance calendar to track adherence across departments. </li><li>Ensure compliance with the Prevention of Money Laundering Act (PMLA), KYC Master Directions, and FIU-IND reporting requirements, and implement effective monitoring for customer onboarding and suspicious transaction reporting. </li><li>Oversee adherence to the Fair Practices Code and grievance redressal mechanisms. </li><li>Design and deliver compliance training and awareness programmes across the organisation, promoting a culture of compliance and ethical conduct. </li> </ul><p><strong>7. Regulatory Liaison &amp; Stakeholder Management </strong> </p><ul><li>Act as the nodal point of contact with the RBI, FIU, and other regulators, ensuring timely and accurate regulatory filings, returns, and correspondence. </li><li>Support senior management during RBI inspections, audits, and reviews, ensuring observations are tracked to closure. </li><li>Track regulatory developments and circulars, interpreting them for internal dissemination and implementation. </li> </ul><p>Partner with the CRO, CISO, and Internal Audit to strengthen the three-lines-of-defence framework, and participate in Management -level Committees (Audit, Risk, IT Strategy etc ) as required. </p><p><br /></p><ol><li><em>Qualifications </em> </li> </ol><p>Mandatory: Company Secretary (CS), CMA/ICWA, CFA, or Chartered Accountant (CA); or a full-time MBA/Postgraduate degree, LLB / BA LLB (full-time), or B.Tech/M.Tech, B.COM ( Hons) , M. Com etc. with a strong Banking/NBFC background. </p><p><br /></p><ol><li><em>Work Experience </em> </li> </ol><p>10–25 years of post-qualification experience in Regulatory Compliance and Governance roles, preferably within NBFCs, banks, and/or financial services. </p><p><br /></p><ul><li>Experience with NBFCs / banks and lending products — especially digital, retail, and SME lending — with strong exposure to KYC/AML matters and direct, close liaison with the RBI. Prior experience with RBI-regulated entities, </li><li>an established regulatory/industry peer network, and familiarity with RBI governance frameworks will be a significant advantage. </li> </ul><p><strong>Subject Matter Expertise </strong> </p><ul><li>Deep understanding of RBI Master Circular for NBFC, Corporate law, RBI Master Directions and Companies Act Overall Corporate law compliance requirements. </li><li>Exposure to the RBI Act, BR Act, IRDA, Companies Act and allied regulations is essential for candidates from a broader financial-services background. </li><li>Demonstrated ability to manage Senior level, Board interactions independently, shape policy frameworks, and influence decision-making at the top level. </li><li>High proficiency in documentation, legal drafting, and regulatory interpretation. </li><li>A track record of managing audits, inspections, and regulatory correspondence confidently and professionally. </li> </ul><p><strong>Soft Skills &amp; Persona </strong> </p><p>A polished, Board-ready communicator with strong analytical judgment, unquestionable integrity, and the gravitas to represent Compliance with regulators, the Board, and senior leadership. </p><p><br /></p><p><strong>Role Proficiencies: </strong> </p><p>For successful execution of the role, a candidate should possess the following: </p><p><br /></p><ul><li>Strong analytical skills with a keen eye for detail. </li><li>Excellent written and verbal communication. </li><li>Strong interpersonal skills to collaborate effectively with people across all levels of the organisation. </li><li>A sharp understanding of regulatory intent and supervisory expectations — able to convey the spirit of regulations with simplicity and consistency across departments and hierarchy, building organisation-wide alignment. </li><li>A self-starter who is flexible, innovative, and adaptive, with the ability to prioritise and make decisions with agility. </li><li>Excellent project management and organisational skills, with the capability to handle multiple tasks simultaneously. </li><li>Self-Starter &amp; Leader: takes ownership, drives execution, and manages a lean team with minimal supervision. </li><li>Collaborative Mindset: works effectively in cross-functional, matrixed environments and manages stakeholders across levels. </li><li>Exceptional Communication: engages effectively with senior management, regulators, and external stakeholders. </li><li>Composure Under Pressure manages high-stakes situations calmly, while safeguarding quality and compliance. </li><li>Ethical &amp; Trustworthy: operates with a high degree of integrity, confidentiality, and accountability. </li><li>Detail-Oriented Organiser: excels at multitasking, prioritising deliverables, and ensuring high-quality outcomes. </li><li>Proactive Risk Manager: identifies emerging compliance risks and addresses them with well-considered mitigation plans. </li> </ul><p>Strategic Influence: balances legal/regulatory obligations with business realities to enable practical, compliant growth. </p>
