Role Description

This is a full-time, on-site role for an On-roll Company Secretary based in Chennai. The role involves managing corporate secretarial compliance, including preparation and filing of statutory forms, maintenance of registers and records, and ensuring adherence to Companies Act and related regulations. The Company Secretary will draft and review board and general meeting notices, agendas, minutes, and resolutions, while coordinating with directors and management for timely approvals. The role includes handling ROC filings, monitoring corporate governance practices, assisting in drafting corporate policies, and supporting event-based compliances such as incorporations, share allotments, and changes in directorship. The professional will collaborate closely with audit and tax teams, respond to regulatory queries, and support clients with advisory on secretarial matters.


Qualifications

  • Company Secretary qualification (ACS) from the Institute of Company Secretaries of India; additional commerce, law, or finance-related degrees are beneficial.
  • Strong knowledge of the Companies Act, corporate governance norms, SEBI and FEMA regulations (where applicable), and other relevant statutory requirements.
  • Experience in drafting and reviewing notices, agendas, minutes, resolutions, and corporate documentation with high attention to detail.
  • Proficiency in compliance management, ROC filings, maintenance of statutory registers, and handling event-based compliances for corporate entities.
  • Comfort with MS Office tools and secretarial/compliance software; ability to manage documentation and deadlines efficiently.
  • Excellent written and verbal communication skills, with the ability to coordinate effectively with clients, directors, and internal teams.
  • Strong organizational and time-management abilities, with a focus on accuracy, confidentiality, and professional ethics.
  • Prior experience in a CA or CS firm or in corporate secretarial roles is preferred; willingness to continuously update knowledge of changing regulations.
