Key Responsibilities:

Corporate Compliance & Secretarial Records:

• Maintain secretarial records, including minutes of Board Meetings, General Meetings, and Statutory Registers.
• Prepare the Annual Report for the Group Company.
• Ensure timely MCA e-filing as per the Companies Act and LLP Act.

Regulatory Filings & Documentation:

• Handle filings for Share Capital Increase, Name Change, Object Change, Share Issue & Allotment.
• Process Dematerialization of shares and ISIN activation.
• Manage Creation, Modification, and Satisfaction of Charges.
• Oversee filings for Appointment and Cessation of Directors, Auditors, and Company Loans & Investments.
• Draft and adopt new Articles of Association and Memorandum of Association under the Companies Act, 2013.

SEBI & Stock Exchange Compliance:

• Ensure compliance with SEBI (LODR) Regulations, 2015, including quarterly, half-yearly, and annual filings.
• Handle procedural aspects related to Share Transfers.
• Ensure adherence to SEBI (Prohibition of Insider Trading) Regulations, 2015, and SEBI (Substantial Acquisition & Takeover) Code, 2011.
• Liaise with Stock Exchanges, Registrar & Share Transfer Agents (RTA), and Depositories.

Legal & Policy Drafting:

• Draft and vet Share Purchase, Share Transfer, and Contribution Agreements.
• Develop and maintain corporate policies in line with regulatory requirements.

What We're Looking For:

️ A Qualified Company Secretary (CS) with 3-5 years of relevant experience.

️ Strong knowledge of Company Law, SEBI Regulations, and MCA Compliance.

️ Excellent attention to detail, problem-solving, and communication skills.

️ Ability to liaise with regulatory authorities and stakeholders effectively.
