Job Description


The Deputy Vice President – Fund Management will work closely with the Vice President – Fund Management in driving investment origination, deal structuring, transaction execution, portfolio management, and fundraising initiatives. The incumbent will play a key role throughout the investment lifecycle—from evaluating opportunities and structuring transactions to monitoring portfolio performance and supporting successful exits.


The role requires strong expertise in private credit, structured finance, Alternative Investment Funds (AIFs), financial modelling, valuation, transaction execution, and stakeholder management.


Key Responsibilities


Investment Evaluation & Execution


 Evaluate investment opportunities across multiple sectors aligned with the Fund's investment strategy.

 Conduct detailed financial, commercial, operational, and industry due diligence.

 Build robust financial models, valuation models, and return analysis (IRR, MOIC, Yield).

 Prepare Investment Committee notes, investment memorandums, and recommendation papers.

 Coordinate end-to-end execution of investment transactions from initial evaluation to financial closure.

 Liaise with legal, compliance, tax, technical, and external advisors throughout the transaction lifecycle.


Deal Structuring


 Structure investments across private credit, structured debt, mezzanine financing, growth capital, and hybrid instruments.

 Design innovative financing solutions tailored to investee companies based on their business model, cash flows, collateral profile, and growth requirements.

 Evaluate and recommend appropriate capital structures, including senior debt, subordinated debt, convertible instruments, CCDs, CCPS, OCDs, and other structured products.

 Develop transaction structures incorporating collateral packages, escrow mechanisms, repayment waterfalls, guarantees, security creation, and financial covenants.

 Lead commercial negotiations on key transaction terms with promoters, borrowers, co-investors, lenders, and advisors.

 Work closely with legal and tax advisors to ensure commercially viable, legally robust, and tax-efficient transaction structures.

 Identify and implement risk mitigation measures through security structures, covenant packages, downside protection mechanisms, and monitoring frameworks.

 Review and negotiate term sheets, facility agreements, investment agreements, security documents, and other transaction documentation.

 Present transaction structures and investment recommendations to the Investment Committee.

 Support restructuring, refinancing, follow-on investments, amendments, waivers, and exit structuring for portfolio companies.


Portfolio Management


 Monitor financial and operational performance of portfolio companies.

 Analyze monthly MIS, financial statements, and covenant compliance.

 Prepare portfolio performance dashboards and risk reports.

 Track investment performance against approved business plans.

 Support portfolio companies in strategic initiatives and value creation.

 Participate in Board meetings and portfolio review discussions.

 Identify early warning signals and recommend corrective actions.


Fund Management


 Support overall fund deployment strategy and capital allocation decisions.

 Monitor fund performance, portfolio returns, and deployment efficiency.

 Coordinate with Fund Administrator, Trustee, Custodian, Auditors, and Compliance teams.

 Assist in NAV monitoring, drawdowns, distributions, and fund reporting.

 Ensure compliance with SEBI AIF Regulations and internal investment policies.


Stakeholder Management

 Build relationships with promoters, founders, intermediaries, investment bankers, consultants, legal firms, and financial institutions.

 Coordinate effectively with internal teams including Legal, Finance, Compliance, Risk, and Operations.

 Represent the Fund in meetings, conferences, and industry forums when required.


Desired Candidate Profile

Education

 CA / CFA / MBA (Finance) from a reputed institution.

 CA with CFA or MBA Finance will be preferred
