Job Description
Role Overview
To ensure compliance with the Companies Act, 2013 and other applicable corporate laws by managing secretarial activities, statutory compliances, Board processes, and corporate governance requirements for Essar Ports and its group entities. The role will support the Board, senior management, and business teams in maintaining high standards of governance and regulatory compliance.
Key Responsibilities
Corporate Secretarial & Governance
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable statutory requirements.
- Assist in implementing corporate governance practices and ensuring adherence across the organization.
- Track regulatory changes and support implementation of new compliance requirements.
Board & Committee Management
- Coordinate Board, Committee, and Shareholders' Meetings.
- Prepare notices, agendas, Board papers, resolutions, and minutes.
- Maintain Board records and ensure timely closure of action items arising from meetings.
Statutory Compliance
- Ensure timely filing of statutory forms, annual returns, and other regulatory submissions with the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
- Maintain statutory registers, records, licenses, and corporate documents.
- Coordinate Secretarial Audit and ensure timely closure of observations.
- Support compliance with FEMA and RBI regulations, wherever applicable.
Compliance Management
- Develop and maintain statutory compliance calendars and trackers.
- Coordinate with internal stakeholders to ensure timely completion of compliance requirements.
- Support internal and external audits related to secretarial and corporate governance matters.
Corporate Transactions
- Support incorporation of companies, changes in capital structure, alteration of constitutional documents, and other corporate actions.
- Assist in mergers, acquisitions, restructuring, financing transactions, and due diligence from a secretarial perspective.
- Coordinate execution and maintenance of statutory approvals and documentation.
Stakeholder Coordination
- Liaise with regulatory authorities, consultants, statutory auditors, secretarial auditors, banks, and legal advisors.
- Work closely with Finance, Legal, Taxation, and Business teams on corporate compliance matters.
Documentation & Record Management
- Maintain accurate statutory records and corporate documentation.
- Ensure safe custody and digitization of corporate records.
- Prepare periodic compliance reports and updates for senior management.
Education
- Qualified Company Secretary (Member of ICSI) – Mandatory.
- LLB will be an added advantage.
Experience
- 7+ years of post-qualification experience in corporate secretarial functions.
- Experience in infrastructure, ports, logistics, manufacturing, EPC, or large corporate organizations will be added advantage.
- Exposure to Board processes, statutory filings, and corporate governance practices is desirable.
