Corporate Associate Attorney (Capital Markets)
A Global 200 law firm is seeking an experience Corporate Associate with 4-5 years of experience to join its office in Denver. This role will work closely with partners and clients on a broad range of transactional, securities, and corporate governance matters, with significant exposure to public and private offerings, regulatory compliance, and complex corporate transactions.
Responsibilities:
- Advise clients on securities, corporate governance, and regulatory compliance matters
- Assist with public and private offerings and other securities transactions
- Handle matters involving Securities Act of 1933 and Securities Exchange Act of 1934
- Support M&As and other complex corporate transactions
- Assist with cross-border transactions involving US and international parties
- Counsel clients on ongoing corporate governance and compliance obligations
- Conduct legal research and prepare sophisticated transactional and regulatory documents
- Work directly with partners and clients across a diverse range of corporate matters
Qualifications:
- JD from an ABA-accredited law school
- 4-5 years of corporate law experience
- Experience with securities law, corporate governance, regulatory compliance, and transactional matters
- Experience with M&A, cross-border transactions, and public offerings.
- Admission to the Colorado bar, or eligibility
- Strong academic background
