We are seeking a Corporate Transactional Associate to join a corporate practice in Cranberry Township, Pennsylvania. This opportunity is ideal for an attorney with approximately 2+ years of hands-on transactional experience who wants exposure to a broad range of corporate and commercial matters.
The associate will work on matters spanning the full lifecycle of corporate transactions, from entity formation and governance through acquisitions, due diligence, closings, and commercial agreements.
Key Responsibilities
Advise clients on entity formation and general corporate mattersDraft and review corporate governance documents, including:Operating agreementsBylawsShareholder agreementsAssist with mergers and acquisitions and asset purchase transactionsConduct and manage transactional due diligencePrepare transaction and closing documents and assist with closingsDraft, review, and negotiate a variety of commercial contractsWork closely with clients and other attorneys throughout corporate transactions
Qualifications
Approximately 2+ years of corporate transactional experienceActive Pennsylvania Bar license requiredMeaningful experience with corporate transactions, rather than primarily litigation workExperience with entity formation, governance documents, M&A, asset purchases, commercial contracts, and related transactional mattersStrong academic and professional credentialsStrong drafting, negotiation, organizational, and communication skillsAbility to manage multiple transactional matters effectively
Salary and Other Compensation:
The base salary for this position is between $120,000 – $150,000 annually. xzbcwsv Factors that may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
