About GELIKAPS LIFESCIENCES LTD

Gelikaps Lifesciences Ltd. , formerly known as Dinesh Remedies Limited , is a GMP-certified manufacturer of Empty Hard Gelatin Capsules serving the pharmaceutical, nutraceutical, herbal, and healthcare industries.

We are looking for a qualified, proactive, and results-oriented Company Secretary to independently manage our corporate secretarial and statutory compliance function.

This is a high-responsibility role offering direct interaction with senior management and the opportunity to contribute to the company's corporate governance, statutory compliance, and corporate affairs.

Key Responsibilities
  • Independently manage the company's corporate secretarial and statutory compliance function .
  • Ensure compliance with the Companies Act, MCA requirements, applicable rules, regulations, and Secretarial Standards .
  • Plan and coordinate Board Meetings, Committee Meetings, and General Meetings .
  • Prepare and review agendas, notices, resolutions, minutes, explanatory statements, and related documentation .
  • Maintain statutory registers, minutes books, corporate records, and other secretarial documentation .
  • Ensure timely and accurate MCA filings, statutory returns, resolutions, and regulatory submissions .
  • Provide practical guidance to management on corporate law, governance, and statutory compliance matters .
  • Coordinate with Directors, senior management, auditors, legal advisors, consultants, regulators, and other stakeholders .
  • Handle matters relating to shareholding, share transfers, allotments, corporate actions, securities, and related documentation .
  • Support corporate restructuring, due diligence, agreements, fundraising, and other corporate transactions , as applicable.
  • Monitor changes in applicable laws and regulations and ensure timely implementation of relevant requirements.
  • Identify compliance risks and drive appropriate corrective actions and timely closure .
  • Maintain high standards of confidentiality, accuracy, integrity, and corporate governance .
  • Take ownership of assigned matters and ensure timely execution with minimal supervision.

What We Are Looking For

The ideal candidate will:

  • Have strong practical knowledge of corporate law and statutory compliance .
  • Be capable of independently managing the company's secretarial function .
  • Demonstrate strong analytical, drafting, communication, and decision-making skills .
  • Be confident in dealing with senior management, Directors, auditors, consultants, regulators, and external stakeholders .
  • Be highly organized, detail-oriented, and deadline-driven .
  • Demonstrate strong ownership and problem-solving abilities .
  • Be capable of working effectively in a fast-paced, high-accountability environment .
  • Proactively identify issues and drive matters through to completion.

Must-Have Qualifications
  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
  • 3+ years of relevant post-qualification experience in corporate secretarial and statutory compliance.
  • Strong hands-on experience in Companies Act compliance, MCA filings, Board/Committee Meetings, General Meetings, statutory registers, minutes, and corporate records .
  • Strong practical knowledge of Secretarial Standards (SS-1 & SS-2) .
  • Proven ability to independently manage end-to-end secretarial compliance .
  • Strong drafting skills covering notices, agendas, resolutions, minutes, declarations, letters, and corporate documents .
  • Willingness to work on-site at Padra, Gujarat.
  • Immediate joiners or candidates available to join within 15 days will be strongly preferred.

Preferred Qualifications
  • Experience working directly with Boards of Directors and senior management .
  • Experience with public, listed, or unlisted companies , preferably in a regulated or manufacturing environment.
  • Exposure to SEBI regulations, FEMA, RBI regulations, securities laws, and other applicable regulatory requirements .
  • Experience in corporate restructuring, mergers and acquisitions, due diligence, fundraising, or other corporate transactions .
  • Experience coordinating with statutory auditors, internal auditors, legal counsel, consultants, and regulatory authorities .
  • Experience developing corporate governance frameworks, compliance calendars, SOPs, and internal controls .
  • Prior experience in the pharmaceutical, healthcare, manufacturing, or other regulated industries .
  • Strong stakeholder management, commercial awareness, and business judgment .
