Job Description

Role Objective

As an Assistant Manager, the incumbent will be responsible for handling various client engagements independently or under the guidance of senior CS professionals. The objective is to actively contribute to advisory and compliance management services for clients.

Key Responsibilities/Functions

• Provide expert advisory services on corporate laws and ensure timely compliance for clients.

• Independently prepare and finalize documents for board meetings and general meetings.

• Certify and file necessary forms and returns with the Registrar of Companies.

• Draft and review complex legal documents, including notices, directors' reports, annual returns, etc.

• Manage share-related activities, including issuing share certificates and handling share transfers.

• Assist in CSR compliance and filing necessary forms with relevant authorities.

• Support in transactional activities such as mergers, IPOs, secretarial audits, and RBI compliances.

• Manage client relationships, serving as the primary point of contact for both retainer and non-retainer clients.

• Resolve queries from clients promptly and effectively, ensuring client satisfaction.

• Provide guidance and support to trainees, assisting in their development and training.

• Independently handle the preparation and finalization of documentation for various corporate transactions.

• File necessary documents and forms with regulatory authorities, ensuring accuracy and compliance.

• Maintain audit-ready records for clients' day-to-day compliances.

• Play a key role in mergers, including documentation preparation, finalizing transactions, and filing necessary documents.

• Contribute to IPO processes by handling secretarial activities, conducting due diligence, and preparing checklists for listing.

• Actively follow up with clients and regulatory authorities to ensure the smooth progress of client engagements.

• Prepare and update the SOPs as per the amendments as and when required.

• Attend client meetings and carry out necessary on-site tasks and activities as needed.

• Visit ROC, RD, RBI, NCLT and other relevant offices as needed to follow up on pending compliances.

Work Experience

Qualified Company Secretary with 2+ years of post-qualification experience
