Role Description This is a full-time, on-site Company Secretary role based in Bengaluru. The Company Secretary will oversee all statutory and regulatory compliance matters, including maintaining corporate records, organizing board and shareholder meetings, and preparing agendas, minutes, and resolutions. The role involves filing required returns with regulatory authorities, ensuring adherence to company law and other applicable regulations, and advising leadership on governance best practices. The individual will coordinate with legal, finance, and external consultants, support drafting and reviewing contracts and policies, and assist in corporate actions such as incorporations, changes in share capital, and approvals. The Company Secretary will also contribute to risk management initiatives, support internal audits, and help strengthen transparent and ethical corporate governance across the organization. Qualifications Professional qualification as Company Secretary (CS) from ICSI; additional degrees in Law, Commerce, or Business Administration are an advantage. Strong knowledge of Companies Act, corporate governance norms, SEBI and MCA regulations, and other applicable statutory requirements in India. Experience in organizing board and general meetings, drafting minutes, resolutions, notices, and maintaining statutory registers and records. Ability to manage regulatory filings, compliance calendars, and liaison with regulatory authorities and external advisors. Excellent written and verbal communication skills, with attention to detail and strong documentation abilities. High ethical standards, integrity, and discretion in handling confidential information. Strong organizational, multitasking, and time-management skills, with the ability to work independently and collaborate with cross-functional teams. Prior experience in real estate or a project-based environment is preferred but not mandatory.
