Legal Counsel

The FirmOur client, a rapidly growing private equity firm, is seeking an Attorney to join its legal and compliance team in San Diego. The attorney will work closely with the GC/CCO, investment team and senior leadership across transactions, fund matters, corporate governance and regulatory issues.

The Role:This is a broad in-house opportunity for an attorney coming from either an M&A/private equity transactions or private funds/fund formation background who is interested in expanding their experience across the full legal function of a growing private equity firm.
Key responsibilities:Support platform investments, add-on acquisitions, dispositions and other private equity transactionsAssist with legal due diligence, deal execution and transaction documentationSupport fund formation, fund structuring and ongoing fund-related mattersWork on LP agreements, subscription documents, side letters and other investor documentationAdvise on management company, fund and entity governance mattersDraft and review NDAs, engagement letters and commercial agreementsManage legal workstreams and serve as a key point of contact for investment professionals, outside counsel, and other service providersHelp build and improve legal processes as the firm continues to grow
Qualifications:JD required xzbcwsv Approximately 3–6+ years of relevant legal experienceStrong background in either:Private equity M&A / corporate transactions, orPrivate funds / fund formationTop law firm training strongly preferredIn-house or investment management experience is a plus, but not requiredStrong drafting, negotiation and project management skillsCommercial, collaborative and comfortable working in a lean, fast-paced environment
