About the Opportunity
Development Consortium (DC) is seeking an experienced and dynamic Senior Manager – Legal & Compliance to lead and strengthen the organization’s legal, governance, and compliance functions. This role offers an opportunity to work closely with the leadership team, providing strategic legal guidance, managing organizational risk, ensuring regulatory compliance, and supporting governance processes. The ideal candidate will play a critical role in safeguarding DC’s interests while enabling the organization to achieve its mission of creating meaningful social impact across India. This position is well-suited for a legal professional who is passionate about combining legal expertise with purpose-driven work in the development sector.
Responsibilities
Line Management – Legal & Compliance Team
- Support the Leadership team for any tasks and also be the backup on all Legal & Compliance matters.
- Work closely with the Director of Finance and Partnerships.
- Operational
- Oversee the preparation and drafting of templates for contracts, MOUs, grant agreements, service orders, agreements, financial and non-financial agreements, vendor agreements etc., or bespoke agreements as and when needed based on the programme/project needs.
- Review and improve the existing documents to ensure DC is fully compliant and in accordance with laws applicable to DC.
- Conduct an internal review of the applicable laws to DC and work closely with the leadership team for any improvements to be made.
- Give accurate and timely counsel to executives in a variety of legal topics (labor law, child policies, POSH, statutory laws, protection rights, etc.) and keep abreast with any changes and amendments that may impact DC and its programmes.
- Apply effective risk management techniques and offer proactive advice on possible legal issues and provide solutions in the interest of DC.
- Draft and review policy handbooks and any other policies as required from time to time.
- Prepare and impart training modules and PPTs and conduct training on POSH / Child Safeguarding / Whistleblower / Governance from time-to-time.
- Review third-party agreements, MOUs and contracts or any other documents to ensure DC’s full legal rights.
- Ensure, prepare and own the contracting processes for both internal as well as external stakeholders including team members, vendors, interns, and partners.
- Provide internal training to all team members on legal language or specifications from time to time.
- Oversee the development and implementation of internal legal compliance monitoring tools and trackers.
Strategic
- Keep the executives updated on the current knowledge of alterations in legislation and update as may be needed for DC from time to time.
- Flag any issues with the executives in the legal interest of DC and provide solutions.
- Custodian of all the contracts, MOUs, agreements etc. issued from DC and maintain records, e-filing and ensure data privacy.
- Lead on DC’s legal projects and work closely with DC’s core team.
- Develop DC’s legal strategy in alignment with its mission and long-term goals.
- Advise the leadership team and board on strategic legal risks and organizational decisions.
- Engage in high-level negotiations with donors, regulatory bodies, and partners on legal matters.
Governance (Working closely with the Executive Leadership Team)
- Be responsible for organizing Board meetings, sending notices to members, minuting and sharing action points.
- Ensure follow-ups are made for the relevant teams from the Board meetings’ action points.
- Circulate Board meeting minutes to the Board Members and lead on the coordination with the members with support from the Executive Leadership Team.
- Ensure all governance policies are up to date.
- Manage all tasks related to Registrar of Societies, Memorandum and Articles of Association, including POSH reporting etc.
- Lead legal orientation for new board members and ensure understanding of their legal duties.
- Conduct periodic reviews of the governance framework and recommend enhancements to the board.
Communication
- Communicate and negotiate with external stakeholders (regulators, external counsel, public authority etc.), creating relations of trust.
- Be focal point for all Legal related matters and provide support including complex matters.
- Provide updates and reports to the internal committees, partners and the Board on a regular basis on relevant legal issues.
- Conduct Board and Annual General Meetings and the related compliances for DC and its Affiliates
- Engage with external counsel on high-stakes or specialized legal matters.
Organisation
- Be part of DC’s core team and maintain high values and high levels of integrity.
- Represent DC in legal networks to stay ahead of sectoral developments.
- Manage the Legal & Compliance team and mentor them.
- As part of the Senior Leadership Team work as a business partner and compliment each other’s function and support.
- Work closely with the Finance and Operations team.
- Work closely with Project Leads/Representatives and advise for “Legal Matters” from time to time.
- Lead performance reviews, development plans, and succession planning for the legal team.
- Implement capacity-building initiatives to raise legal awareness across departments, projects and programs.
Required Qualification and Skills:
- A Master's Degree in Law (LL.M.) will be preferable.
- 5–6 years of relevant experience in legal, compliance, contracts management, governance, or a related field.
- Sound understanding of contract law, corporate compliance, labour laws, and regulatory requirements applicable to non-profit organizations.
- Experience in drafting, reviewing, and managing legal agreements and policy documents.
- Strong legal research, analytical, and documentation skills.
- Excellent written and verbal communication skills in English.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and document management systems.
- Ability to manage multiple tasks, maintain confidentiality, and work effectively in a collaborative environment.
- Experience in conducting training on POSH, Child Safeguarding, Governance, or related compliance topics will be preferred.

Remuneration: Rs.1,00,000 - Rs. 1,20,000 per month.
