Job Description:As a Legal Counsel, you will join the Firm’s Legal and Compliance team and provide legaladvice and assistance to all aspects of the firms business, with emphasis on contractnegotiation. This role can be based out of New York, NY or Austin, TX.Primary Responsibilities• Draft, negotiate and optimize the Company's counterparty agreements with aparticular emphasis on the Firm’s Brokerage Agreements, Terms of Business,Product Agreements, software licenses and other commercial agreements.• Develop innovative contract frameworks and provide pragmatic, business-focusedlegal guidance that balances risk management with organizational objectives.• Assist in creating commercial playbooks to support the legal department's processoptimization and automation initiatives, including contributions to the legalknowledge management program and integration of AI-driven solutions.• Support the Firm’s General Counsel and Associate General Counsel in variousgeneral corporate and transactional matters, including strategic transactions andmanaging disputes as needed
Company Requirements:THE CANDIDATE• J.D. and member of NY or other bar with high test scores and academic marks• 3-5+ years of relevant experience at a top law firm or in-house legal experience at atechnology, fintech or financial services company• Proven expertise in drafting, structuring, and negotiating sophisticated commercialagreements in the financial services space including broker dealers, prime brokers,trading platforms/exchanges, fintech companies, and/or banks. xzbcwsv • Demonstrated ability to operate within highly regulated financial services settingsand convert shifting regulatory requirements into practical commercial guidance• Must be proficient in Microsoft Office and possess sound technical skills to pick upvarious in-house systems• Demonstrated success managing a demanding deal pipeline solo, consistentlydelivering precise drafting and sound risk analysis• Ability to manage relationships with internal stakeholders and comfortability incommunicating with clients on the business side• Comfort working across time zones, offices and regionsIn addition to the qualifications above, we'd love to see candidates with experience orinterest in any of the following:• Crypto & Digital Assets – Familiarity with blockchain technology, digital assetframeworks, token classifications, or experience advising on crypto-relatedregulatory matters• Derivatives & Options – Working knowledge of derivatives documentation (ISDA,etc.), options structures, or regulatory frameworks governing these instruments• Fintech & Emerging Technology – Experience counseling technology companies orplatforms navigating novel regulatory landscapes• Regulatory Agency Experience – Prior work with or in front of regulators such asthe CFTC, SEC, or similar bodies• Technical Fluency – Ability to grasp technical/product concepts quickly andtranslate them into practical legal guidance• Market Curiosity – A genuine interest in following developments in digital assets,market structure, and financial innovation—even outside of formal work experience
