Job Description

Role Context

The Legal Department plays a pivotal role in supporting the company’s business operations, governance, risk management, and growth initiatives.

The AGM / DGM – Legal will lead legal operations across domestic and international jurisdictions, ensuring compliance while enabling commercial objectives.

Key Responsibilities

  • Contract Management: Draft, review, negotiate, and vet a wide range of commercial agreements including cross‑border contracts, IP licensing, manufacturing & supply agreements, corporate structuring, service agreements, and NDAs.
  • Commercial Negotiations: Lead and support negotiations with customers, vendors, partners, investors, and external stakeholders.
  • Contract Administration: Manage execution of contracts, maintain repositories, and monitor renewals, obligations, and milestones.
  • Dispute Resolution: Advise business teams on disputes, risk mitigation, litigation, and arbitration matters; draft and respond to legal notices.
  • Corporate Legal Support: Provide guidance on governance, restructuring, M&A, and strategic transactions.
  • Real Estate: Conduct legal due diligence, review title documents, and manage registrations and statutory compliances.
  • Intellectual Property: Manage trademark searches, filings, renewals, oppositions, infringement matters, and cease‑and‑desist actions.
  • Regulatory Compliance: Ensure compliance with labor laws, factory laws, EHS, Drugs & Cosmetics regulations, Legal Metrology, and other statutory requirements.
  • Legal MIS & Reporting: Maintain comprehensive MIS covering contracts, litigation, compliance, and IP matters.
  • Global Legal Support: Oversee legal operations across multiple international jurisdictions, ensuring readiness for regulatory and customer audits.
  • Leadership: Mentor and develop the legal team, strengthen processes, and drive continuous improvement in governance frameworks.

Qualifications & Experience

  • Education: Bachelor’s Degree in Law (LL.B.) mandatory; LL.M., Company Secretary (CS), or certifications in corporate/commercial law preferred.
  • Experience: 12–15 years of post‑qualification experience in corporate legal functions or reputed law firms, with exposure to pharmaceutical, healthcare, biotechnology, or manufacturing sectors.
  • Global Exposure: Experience in international commercial transactions and cross‑border contracts desirable.

Competencies

  • Strong commercial and business acumen.
  • In‑depth knowledge of contract law, corporate law, IP laws, and labor/employment laws.
  • Proven ability to manage complex transactions end‑to‑end, including legal due diligence.
  • Excellent drafting, negotiation, communication, and presentation skills.
  • Experience in managing audits, compliance reports, and board presentations.
  • Familiarity with legal technology platforms and document management systems.
