About the Role
We are looking for an Assistant Company Secretary who will be instrumental in helping the office run smoothly, provide support to managers, senior-level executives, and cross-functional departments. You’ll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.
Key Responsibilities
- Appointment as Company Secretary (Key Managerial Personnel) of subsidiary (if required) under the Companies Act, 2013.
- Compliances under provision of Companies Act, SEBI Regulations, FEMA and other statutory laws applicable to the Indian and Foreign Subsidiaries under boAt.
- Ensure compliance with Secretarial Standards.
- Undertake and complete secretarial audit, internal audit and any other audit as may be required, in a timely manner.
- Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative, with various statutory bodies such as ROC, RBI, shareholders, RTAs, DPs etc.
- Assist in conducting meetings of sub-committee, board of directors, shareholders documenting and circulating notice, agenda and minutes of the same.
- Executing Corporate Actions for various matters related to share capital, etc.
- Liaising with board of directors, secretarial auditors, statutory auditors, internal auditors, ROC office, regulators, external advisers, such as lawyers, valuers, CA firms, CS firms and auditors during fund raise processes etc.
- Will be responsible for developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines for unlisted public companies and listed entities.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action on.
- Experience in dealing with cross-border groups would be an added advantage.
- Prepare compliance reports for management / Board updates and ensure timely reporting of corporate secretarial compliances in the compliance tool implemented in the company.
- Maintain statutory registers, minute books and corporate records.
Qualifications
- Candidate must be a qualified Company Secretary with 2-3 years of post-qualification experience (excluding articleship/internship) and possess strong technical and drafting skills.
- Working knowledge of SEBI Regulations (LODR, PIT, SBEB, ICDR, SAST).
- Familiarity with FEMA and RBI compliances.
- Proficiency in Microsoft Office (Word, Excel and PowerPoint).
- Prior IPO work / listed company experience will be an added advantage.
- LLB will also be an added advantage.
- Good communication skills – both written and verbal.
